Bylaws of Pacific Rim Sculptors Group

1. NAME. The name of this organization is the Pacific Rim Sculptors Group and herein referred to as PRSG.

2. PRINCIPAL OFFICE. The Principal office for the transaction of the activities, affairs, and business of the organization is located at (rotating location).

The members may change the principal office from one location to another. A change of location of the principal office shall be noted by the chair on these bylaws opposite this Section, or this Section may be amended to state the new location.

3. GENERAL PURPOSE. Cultural vitality and artistic diversity contribute to a healthy society. To that end, PRSG has been formed.

4. SPECIFIC PURPOSE. PRSG makes a concerted effort to increase public awareness of sculpture by promoting public and private sculpture exhibits, education, resource, and outreach programs. PRSG encourages artistic diversity and excellence by providing a network for artists to meet, show their work, exchange ideas and address issues of common concern. PRSG works collectively to provide opportunities and resources for members. PRSG makes a special effort to encourage the development of all sculptors.

5. MEMBERS. This organization shall have one class of members, herein referred to as members. Any person dedicated to the purposes of this organization shall be eligible for membership.

6. MEMBERS RESPONSIBILITIES. The organization activities and affairs shall be managed, and all PRSG power shall be exercised, by or under the member’s direction. The members are responsible for upholding the general and specific purposes of PRSG.

7. DUES. Each member must pay, within the time and on the conditions set by the members, the dues, in amounts to be fixed from time to time by the members. The dues shall be equal for all members.

8. GOOD STANDING. Those members who have paid the required dues in accordance with these bylaws shall be members in good standing.

9. MEETINGS. Members meetings shall be held every two months. The place of the meetings shall be determined by the chair and or the administrator and announced in the previous month’s newsletter.

10. QUORUM. Twenty (20) percent of the members in good standing shall constitute a quorum for the transaction of business at any meeting of the members.

11. ELIGIBILITY TO VOTE. Members entitled to vote at any PRSG meeting shall be in good standing as of the recorded date of the meeting.

12. VOTING. Each member entitled to vote shall be entitled to cast one (1) vote on each matter submitted to a vote of the members.

13. PROXIES. There are no provisions within these bylaws for proxy voting.

14. APPROVAL BY MAJORITY VOTE. If a quorum is present, the vote of the majority of the members in good standing, shall be the act of the members.

15. OFFICER. The officer of PRSG shall be a chairperson.

16. OFFICER ELECTION. The chairperson shall be drawn alphabetically from the membership in good standing. Only members with at least one year of membership shall be eligible for the position of chairperson.

17. RESPONSIBILITIES OF THE CHAIR. The chairperson shall supervise, direct, and control the organization activities and affairs. The chairperson shall preside at all member meetings. The chairperson, with the assistance of the administrator, shall arrange for, and give notice for all regular member meetings.

18. CHAIRPERSON TERM OF OFFICE. The chairperson term of office shall be six months.

19. COMMITTEES. The members may, as deemed necessary, form committees.

20. COMMITTEE MEMBERSHIP. Any member in good standing may be a member of a committee.

21. ADVISORY COMMITTEES. Advisory committees may be convened to research specific issues and report to the membership in an advisory capacity.

22. STANDING COMMITTEES. The members may convene standing committees to execute policy approved by the members. Standing committee purpose and responsibilities shall be included in the bylaws as a subset of Section 22.

A. STEERING COMMITTEE.

A1. STEERING COMMITTEE PURPOSE. To assist the chairperson and administrator, when necessary. To contract administrative services for PRSG. To assist with budget development and financial execution. To participate in the development of long term planning for PRSG.

A2. STEERING COMMITTEE CHAIR OR CHAIRS. The chair or chairs shall be determined by the steering committee members and supervise the execution of steering committee business.

A3. STEERING COMMITTEE MEETINGS. The steering committee chair shall give notice and preside at steering committee meetings, record meeting minutes at PRSG principle place of business for publication in the PRSG newsletter, and supervise the execution of steering committee business.

A4. STEERING COMMITTEE MEMBERSHIP. The members of the steering committee shall be the standing chair of PRSG, the past chair of PRSG, the chairs, or a representative of all standing committees, and at least three members in good standing.

B. EXHIBITIONS COMMITTEE.

B1. EXHIBITIONS COMMITTEE PURPOSE. To decide the curatorial direction of PRSG and to insure that the exhibitions, sponsored by PRSG, are executed at the highest standards, in accordance with PRSG’s volunteer and financial resources.

B2. EXHIBITIONS COMMITTEE CHAIR OR CHAIRS. The chair or chairs shall be determined by the exhibition committee members and supervise the execution of exhibition committee business.

B3. EXHIBITIONS COMMITTEE MEETINGS. The chair or chairs shall give notice and preside at exhibition committee meetings, record meeting minutes at PRSG principle place of business for publication in the PRSG newsletter.

B4. EXHIBITION COMMITTEE MEMBERSHIP. Any PRSG member in good standing may be a member of the exhibition committee. There is no limit to exhibition committee membership.

C. WEB COMMITTEE.

C1. WEB COMMITTEE PURPOSE. To develop and administer an online exhibitions venue and publishing venue. To provide a tool to contact and open relations with other sculptor/sculpture organizations.

C2. WEB COMMITTEE CHAIR OR CHAIRS. The chair or chairs shall be determined by the web committee members and supervise the execution of web committee business.

C3. WEB COMMITTEE MEETINGS. The chair or chairs shall give notice and preside at web committee meetings, record meeting minutes at PRSG principle place of business for publication in the PRSG newsletter.

C4. WEB COMMITTEE MEMBERSHIP. Any PRSG member in good standing may be a member of the web committee. There is no limit to web committee membership.

D. PROGRAM COMMITTEE.

D1. PROGRAM COMMITTEE PURPOSE. To develop programs for the benefit of the membership in accordance with the purpose of PRSG (section 3).

D2. PROGRAM COMMITTEE CHAIR OR CHAIRS. The chair or chairs shall be determined by the program committee members and supervise the execution of program committee business.

D3. PROGRAM COMMITTEE MEETINGS. The chair or chairs shall give notice and preside at program committee meetings, record meeting minutes at PRSG principle place of business for publication in the PRSG newsletter.

D4. PROGRAM COMMITTEE MEMBERSHIP. Any PRSG member in good standing may be a member of the program committee. There is no limit to program committee membership.

E. OUTREACH COMMITTEE.

E1. OUTREACH COMMITTEE PURPOSE. To develop outreach programs for the benefit of the community at large in accordance with the purpose of PRSG (Section 3).

E2. OUTREACH COMMITTEE CHAIR OR CHAIRS. The chair or chairs shall be determined by the outreach committee members and supervise the execution of outreach committee business.

E3. OUTREACH COMMITTEE MEETINGS. The chair or chairs shall give notice and preside at outreach committee meetings, record meeting minutes at PRSG principle place of business for publication in the PRSG newsletter.

E4. OUTREACH COMMITTEE MEMBERSHIP. Any PRSG member in good standing may be a member of the outreach committee. There is no limit to the outreach committee membership.

23. AMENDMENTS TO THE BYLAWS. New bylaws may be adopted or these bylaws may be amended or repealed by approval of the members. The vote of fifty-one (51) percent of the members in good standing shall be required for approval of amendments. Motions for amendments shall be offered and seconded at member meetings. The motion for amendment, notice for a membership meeting for discussion of the amendment, and written ballots shall be published in the PRSG newsletter. Ballots shall be due by mail prior to, or by hand at, the membership meeting noticed above.
